A Sdn Bhd is a separate legal entity from its owners. It can own assets, enter into contracts and continue regardless of changes in its directors or shareholders — which makes it the natural choice for most founders.

  • At least one shareholder — an individual aged 18 or above, or a corporate shareholder. One person can be both sole director and sole shareholder.
  • A qualified company secretary, appointed within 30 days of incorporation.
  • A registered office address in Malaysia.
  • Share capital from as little as RM1.

    Can a foreigner own 100% of a Sdn Bhd?

    Yes. Foreign individuals and foreign companies can hold all of the shares. You still need at least one director who ordinarily resides in Malaysia — we can provide a nominee resident director if you need one.

    How long does incorporation take?

    Once your name is approved and documents are signed, registration is usually completed within a few working days, subject to SSM processing.
